Nexus ELD and its affiliates ("Company") establish this contract governing your use of their services, whether personal or on behalf of an authorized entity.

2. Description of the Service
The offering encompasses an electronic logging device, fleet management software, websites, mobile platforms, and related updates.
3. Agreement to Terms
Accessing the Service constitutes acceptance of these terms and incorporated policies like the Privacy Policy.
4. Access and Use of the Service
Users receive a limited, non-sublicensable, non-exclusive and revocable license to use the Service. Key responsibilities include:
- Accountability for all activity under your credentials
- Allowing other authorized users access
- Full responsibility for driving logs and regulatory compliance
- Must be 18+ and capable of forming contracts
- Requirement to maintain current, accurate account information
5. Unauthorized Use of the Service
Prohibited activities include reselling services, using proprietary information without consent, breaching security, reverse engineering software, collecting personal information from others without permission, and violating applicable laws.
6. Data and Licenses
Your uploaded content (logs, coordinates, vehicle data, messages, documents, profiles) grants the Company necessary licenses to transmit, store, copy, and share for service operations.
7. Data Shared Between Drivers and Carriers
Connected carriers and associated parties access driver information. Users bear responsibility for shared content.
8. Changes and Modifications
The Company may amend these terms; continued use after modifications constitutes acceptance.
9. Termination
The Company may terminate access without notice at its discretion. Users can cancel by emailing support@nexuseld.com.
10. Disclaimer of Warranties
The Service is provided "as is," without warranty of any kind. No guarantees regarding requirements fulfillment or uninterrupted availability.
11. Limitation of Liability
The Company's maximum liability cannot exceed amounts paid in the preceding twelve months, excluding indirect, incidental, special, consequential, or punitive damages.
12. Indemnity
Users must protect the Company from third-party claims arising from their service use, agreement violations, or infringement of others' rights.
13. Governing Law and Dispute Resolution
Delaware law applies. Disputes resolve through binding arbitration or Delaware courts.
